Ted Little is an experienced corporate attorney in the areas of transactional/M&A, securities, private finance and private equity, and corporate governance. He has advised senior management of both public and private companies with regulatory compliance, private raising of capital, and acquisitions and divestitures. Ted is licensed to practice in Massachusetts, Virginia, and select federal courts, and has provided guidance on transactions and dispute resolution in the United States and abroad. When not at the office, Ted enjoys time with his family hiking and skiing in the White Mountains and taking long walks with the family’s Brittany Spaniel.
Work With Clients
From his years in private practice and as an in-house General Counsel, Mr. Little has gained broad experience in a wide array of legal issues facing his corporate clients, including:
- Mergers and acquisitions and company/entity formation (including investment fund structuring);
- Private equity and raising of capital through private offerings (e.g., SEC Regulation D);
- Regulatory compliance including Securities & Exchange Commission reporting and Commodities Futures Trading Commission registration and enforcement;
- Corporate governance issues including board actions, board committees, and shareholder voting;
- Capital structuring and equity/debt financing arrangements;
- Commercial contract drafting and negotiation (including SaaS licensing and Master Service Agreements); and
- Litigation including complex commercial, employment, and securities matters.
Among many other activities, Mr. Little’s client work has included:
- Supervising an $80 million capital raise in private placement funds from accredited investors for four domestic and international hedge and private equity funds (master-feeder structure);
- Overseeing due diligence and negotiation of several private equity deals including utilities, mixed use residential-commercial, and retail brands; and
- Assisting publicly traded issuers with OTC, Nasdaq, and SEC registration and periodic reporting (10-Ks, 10-Qs, 8-Ks, Rule 16 and proxy filings), as well as regulatory filings during acquisitions of private operating entities by public shell companies.

Education
Mr. Little holds a law degree (JD) from American University, Washington College of Law, where he was the Senior Articles Editor of the Administrative Law Journal. He received his undergraduate degree (AB) in Government from Dartmouth College.
